Terms of Service

These Terms of Service (“Terms”) are a legal agreement between you and Popup Moments Inc., a Delaware corporation (“Nudges”, “we”, “us”, or “our”), and govern your use of Nudges on nudges.chat and through the Nudges app inside ChatGPT (together, the “Service”).

By using the Service, you agree to these Terms. If you do not agree, do not use the Service.

Who can use Nudges

You must be at least 13 years old to use Nudges. If you are under 18, you may use Nudges only with the consent and involvement of a parent or guardian who agrees to these Terms on your behalf. By using the Service, you confirm that you meet these requirements and that the information you provide is accurate.

The service

Nudges is a reminder app. You can ask it to remind you about something at a time you choose, including on a repeating schedule, and it emails you when the reminder is due. You can also list your upcoming reminders and cancel them, all inside your chat. Nudges acts only on the reminders you explicitly ask it to set.

The Service is provided free of charge. We may change, suspend, or discontinue any part of the Service at any time, and we may set or change limits on use of the Service. We will try to give reasonable notice of material changes where we can.

Reminders and email delivery

Nudges sends reminders by email to the address associated with your account, and delivery depends on systems we do not fully control, including your email provider, spam filters, and network conditions. We work to deliver every reminder on time, but we do not guarantee that a reminder will be delivered, or delivered at the exact time or at all. You should not rely on Nudges as your only reminder for anything critical or time-sensitive, such as medication, medical appointments, legal or financial deadlines, or travel.

Emails we send

By using Nudges, you agree that we may send you the reminder emails you create, essential emails about your account, security, or the Service, and occasional emails about new features or improvements. You can opt out of the product update emails at any time, but you cannot opt out of essential account emails while you have an account, because they are part of operating the Service. We describe this further in our Privacy Policy.

Your account

You are responsible for activity that happens under your account and for keeping your access to it secure. Nudges is tied to the account you sign in with, and your reminders are delivered to the email address on that account. Let us know promptly at hi@sponja.ai if you believe your account has been accessed without your permission.

Your content

You own the reminders and other content you create in Nudges (“Your Content”). We do not claim ownership of it.

You grant us a limited, non-exclusive, royalty-free license to store, process, and send Your Content by email to you solely to operate and provide the Service, as described in our Privacy Policy. This license ends when you delete Your Content or your account, except for residual copies that may remain in encrypted backups for a short period before they are overwritten.

You are responsible for Your Content and confirm that you have the rights to store it and that it does not violate these Terms or any law.

Acceptable use

When using Nudges, you agree not to:

• Use the Service for any unlawful purpose or to store or send unlawful, infringing, or harmful content.
• Attempt to gain unauthorized access to the Service, other users’ data, or our systems, or to breach, disable, or overload them.
• Reverse engineer, decompile, or attempt to extract the source code of the Service, except to the extent this restriction is prohibited by law.
• Use the Service to build a competing product, or resell, rent, or sublicense the Service.
• Interfere with or disrupt the integrity or performance of the Service, including through automated scraping, bulk reminder creation, or other abuse.

We may suspend or terminate access for anyone who violates these Terms.

AI-generated content

Nudges uses AI to interpret your request and turn it into a reminder, including working out dates, times, time zones, and repeating schedules. This interpretation may be inaccurate or incomplete, for example by setting a reminder for the wrong time. You are responsible for reviewing the reminders Nudges sets and confirming they are correct, and you should not rely on Nudges as your only copy of important information or as your only reminder for anything critical.

Privacy

Our collection and use of your information is described in our Privacy Policy, which is incorporated into these Terms by reference. Please review it to understand our practices.

Data deletion

You can cancel any reminder at any time from within Nudges. To delete your entire account and all of your reminders, email hi@sponja.ai, or disconnect Nudges from ChatGPT’s settings (Apps and Connectors) to immediately stop new data flowing to us. When you ask us to delete your data, we delete it within 30 days, except where we are required to retain certain records to comply with law. Residual copies may persist in encrypted backups for a short period before they are overwritten.

Disclaimers

The Service is provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, that reminders will be delivered or delivered on time, or that any content, including AI-generated content, will be accurate or reliable. You use the Service at your own risk, and you are responsible for maintaining your own copies and your own reminders for anything important to you.

Limitation of liability

To the maximum extent permitted by law, Nudges and Popup Moments Inc., and our officers, employees, and service providers, will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of data, profits, revenue, goodwill, or business, or for any missed, late, or undelivered reminder, arising out of or relating to your use of, or inability to use, the Service, even if we have been advised of the possibility of such damages. This applies regardless of the legal theory on which the claim is based. Some jurisdictions do not allow certain of these limitations, so some of them may not apply to you.

Indemnification

You agree to indemnify and hold harmless Nudges and Popup Moments Inc. from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of Your Content, your use of the Service, or your violation of these Terms or any law or third-party rights.

Termination

You may stop using the Service and delete your data at any time, as described above. We may suspend or terminate your access to the Service if you violate these Terms, if we are required to by law, or if we discontinue the Service. For violations that are not serious, we will try to give you reasonable notice where practical. Sections of these Terms that by their nature should survive termination (including the sections on Your Content license residuals, Disclaimers, Limitation of Liability, Indemnification, and Governing Law) will survive.

Changes to these Terms

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Service after an update means you accept the revised Terms.

Governing law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. You agree that any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the state and federal courts located in Delaware, unless applicable law gives you the right to bring the dispute elsewhere.
